Welcome to BrizaAI ("Platform", "Service", "we", "our", or "us"), owned and operated by Retaingrow Technologies LLP.

These Terms & Conditions ("Terms") govern your access to and use of BrizaAI's services, including our website, WhatsApp Business API solutions, chatbot automation tools, campaigns, integrations, APIs, and related services.

By accessing or using BrizaAI, you agree to comply with these Terms. If you do not agree, please do not use our services.

This document is drafted broadly in line with industry-standard WhatsApp SaaS platform terms.

1. Eligibility

By using BrizaAI, you confirm that:

  • You are at least 18 years old
  • You have the authority to represent your business or organization
  • You will comply with all applicable laws and regulations
  • You will comply with WhatsApp and Meta platform policies

2. Services Offered

BrizaAI provides software and automation services including but not limited to:

  • WhatsApp Business API access
  • Chatbot automation
  • Bulk messaging and broadcasts
  • Marketing and utility campaigns
  • Click-to-WhatsApp integrations
  • Team inbox solutions
  • APIs and webhooks
  • CRM and third-party integrations
  • Analytics and reporting

Service features may evolve over time.

3. Account Registration

To access certain services, users may be required to create an account and provide accurate information.

You are responsible for:

  • Maintaining account confidentiality
  • Securing login credentials
  • All activities conducted under your account
  • Ensuring authorized usage only

BrizaAI is not liable for unauthorized account access caused by user negligence.

4. WhatsApp & Meta Compliance

BrizaAI operates on the official WhatsApp Business Platform and users must comply with all applicable WhatsApp and Meta policies.

Users agree NOT to:

  • Send spam or unsolicited communications
  • Send misleading or fraudulent messages
  • Use purchased or scraped contact lists
  • Violate customer consent requirements
  • Engage in prohibited businesses or activities under Meta policies
  • Circumvent messaging restrictions or quality guidelines

Violation of Meta or WhatsApp policies may result in:

  • Message restrictions
  • Template rejection
  • Number suspension
  • Permanent account disabling

BrizaAI shall not be responsible for any actions taken by Meta or WhatsApp against your account.

5. Messaging Charges & Pricing

Users acknowledge that:

  • WhatsApp conversation or messaging fees are determined by Meta
  • Pricing may vary by country, category, and template type
  • BrizaAI may revise subscription or platform pricing from time to time

Unless otherwise stated:

  • Subscription fees are billed in advance
  • Taxes may apply additionally
  • Messaging credits are non-transferable

6. Subscription & Billing

By subscribing to a paid plan, you authorize BrizaAI to charge the applicable fees.

Users may:

  • Upgrade or downgrade plans
  • Cancel subscriptions anytime

However:

  • Cancellation becomes effective at the end of the billing cycle
  • No partial refunds shall be issued for unused periods
  • Unused messaging credits may expire upon plan termination

7. Refund Policy

Unless explicitly stated otherwise:

  • Subscription payments are non-refundable
  • Messaging credits are non-refundable
  • One-time setup fees are non-refundable
  • Chatbot development fees are non-refundable
  • Third-party integration charges are non-refundable

Refunds, if any, are solely at the discretion of BrizaAI and may be evaluated on a case-by-case basis.

8. User Responsibilities

Users are solely responsible for:

  • Message content
  • Customer consent collection
  • Campaign legality
  • Compliance with telecom and anti-spam laws
  • Data accuracy
  • Third-party integrations configured by them

Users must ensure all communications are lawful and authorized.

9. Intellectual Property

All rights related to software, branding, platform interfaces, automation systems, APIs, and documentation remain the exclusive property of Retaingrow Technologies LLP.

Users may not copy, reverse engineer, resell, modify, or redistribute any part of the platform without written permission.

10. Third-Party Services

BrizaAI may integrate with third-party platforms including:

  • Meta & WhatsApp
  • CRMs
  • Payment gateways
  • Shopify
  • Analytics providers

BrizaAI is not responsible for third-party downtime, API failures, policy changes, or data loss caused by external systems. Use of third-party services is subject to their respective terms and policies.

11. Service Availability

While we strive for high uptime and reliability, BrizaAI does not guarantee uninterrupted availability. Temporary interruptions may occur due to:

  • Maintenance
  • Infrastructure upgrades
  • Meta/WhatsApp outages
  • Third-party service disruptions
  • Internet failures

We reserve the right to modify, suspend, or discontinue services at any time.

12. Limitation of Liability

To the maximum extent permitted by law, BrizaAI and Retaingrow Technologies LLP shall not be liable for:

  • Indirect damages
  • Loss of profits
  • Data loss
  • Business interruption
  • Messaging failures
  • Account bans or restrictions imposed by Meta/WhatsApp
  • Third-party platform actions

Use of the platform is at your own risk.

13. Indemnification

You agree to indemnify and hold harmless Retaingrow Technologies LLP from any claims, damages, liabilities, or legal expenses arising from:

  • Your use of the platform
  • Violation of laws or policies
  • Unauthorized messaging
  • Customer disputes
  • Breach of these Terms

14. Suspension & Termination

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms
  • Abuse platform resources
  • Engage in spam or fraudulent activity
  • Create security or legal risks

Termination may occur without prior notice in severe cases.

15. Confidentiality

Both parties agree to maintain confidentiality of non-public business, technical, and customer information shared during the course of service usage.

16. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India.

Any disputes arising out of or relating to these Terms, the Platform, or the Services shall be subject to the exclusive jurisdiction of the competent courts located in Gurugram, Haryana, India.

17. Changes to Terms

We may update these Terms from time to time. Updated versions will be published on this page with the revised effective date. Continued use of the platform after changes constitutes acceptance of the revised Terms.
